ARTICLE 1 - WHAT IS THE FIVA?
ARTICLE 1 - WHAT IS THE FIVA?
1.1. The FÉDERATION INTERNATIONALE DES VÉHICULES ANCIENS (FIVA) was founded
on 1st March 1966 and is a non-profit making world organization and an international association of national clubs, national federations of clubs or national associations of other nature, locally constituted in any country of the world and concerned with the preservation, restoration and use of, as well as the historic documentation on, any kind of mechanically propelled road vehicle of historic and technical interest.
1.2. The FIVA was founded by those Founder Members listed in Appendix A of these Statutes.
1.3. The FIVA shall refrain from manifesting racial, political or religious discrimination in the course of its activities and from taking any actions in this respect.
ARTICLE 2 - OFFICE AND HEADQUARTERS
2.1.1. The registered office of the FIVA is c/o Automobile Club de France, 8, Place de la Concorde, F-75008 PARIS. However all correspondence must be sent to the Secretariat of the FIVA.
2.1.2.The FIVA complies with the law of the country where its office is registered.
2.2. The Secretariat will be in the country where the General Secretary is resident. The FIVA can create sections or commissions, establish offices or convene meetings in any country or continent.
2.3. The official languages of the FIVA will be English and French.
ARTICLE 3 - INTERNATIONAL RELATIONS
3.1. FIVA, being the sole authority recognized by the FIA (Fédération Internationale de l’Automobile) and the FIM ( Féderation Internationale de Motocyclisme) for all matters concerning historic vehicles and their use, maintains close cooperation with the FIA and the FIM both of whom FIVA recognizes as being the sole authorities for all matters concerning motor sport.
3.2. FIVA can make agreements with other international bodies in matters concerned with historic vehicles.
3.3. FIVA accepts the patronage of UNESCO.
ARTICLE 4 - OBJECTS OF THE FIVA
The main purposes of the FIVA are:
4.1. To protect and further the cause of historical vehicles throughout the world and support and encourage the study and recording of their history.
4.2. To attain and uphold the unity of the historic vehicle movement and to safeguard the interests of this movement in all nations.
4.3. To support and encourage the restoration, preservation, use and documentation of historic vehicles of all kinds, in the care of individuals, collectors and museums.
4.4. To preserve and promote the goodwill of the historic vehicle movement by exerting an influence on legislative and administrative bodies as well as on public opinion wherever appropriate and possible.
4.5. In national and international legislative work, to insist upon taking into consideration the specific conditions for the historic vehicle movement and to untiringly claim the legitimate right to use historic vehicles on public roads and elsewhere as they were originally constructed and equipped.
4.6. To study the technical characteristics of vehicles and standardise methods and rules for dating and classification of historic vehicles. 3
4.7. To create favourable conditions for and facilitate the cooperation and exchange of information between the Members of the FIVA and also between those members and similar organizations.
4.8. To encourage the reinforcement and improvement of the facilities and services of the Members of the FIVA.
4.9. In close cooperation with the F.I.A., F.I.M. and other international organizations, to cater for matters concerning the sporting use of historic vehicles in accordance with the F.I.A./ FIVA agreement signed on 27th October, 1999 and with the F.I.M./ FIVA agreements signed on 23d april 2004, or any Convention or other agreement which may replace or supplement them.
4.10. To coordinate and supervise national and international events organized by Members of the FIVA.
4.11. To investigate problems that might arise between the FIVA Members and to use its good offices to find the best possible solutions.
4.12. To make decisions for the settlement of disputes which might arise between the Members of FIVA or in relation to any of those Members having contravened the obligations laid down by the Statutes and other rules of the FIVA.
ARTICLE 5 - COMPOSITION OF THE FIVA
5.1 FIVA is composed of national clubs or federations of clubs constituted in a General Assembly. FIVA is administered by a Board, known as the General Committee, assisted by the General Secretary, the Treasurer and a honorary legal advisor. This board has power to entrust work and study of certain matters to specific Commissions, Sub-Commissions, or Working Groups, permanent or temporary, whose composition and functions will be determined by the Board.
ARTICLE 6 - MEMBERS OF THE FIVA
6.1.1 Any independent national club, national federation of clubs or national association of other nature, predominantly catering for the restoration, preservation and use of, and documentation on, historic vehicles, can be a Member of the FIVA. Its activities must embrace the whole of the national territory, and membership of the club, federation or association must in practice be obtainable by anyone with a genuine interest in some kind of historic vehicle.
6.1.2 The General Committee can decide to accept the application of a regional grouping of countries, if each of those countries is too small to become a FIVA member in its own right. As soon as the number of members in any country within the group grows to the minimum requirements for FIVA membership, this country will have to become an individual FIVA Member but can remain a member of this regional group
6.1.3. The General Committee can decide to accept the application of a regional section of a country which is considered to be a continent, or has a similar size, as long as this country does not have a representative in FIVA that covers the whole of the national territory.
6.2.1. Upon recommendation of the General Committee, a General Assembly may bestow the title of Member of Honour on any person who has rendered outstanding services to the FIVA or its Commissions for no less than ten consecutive years and no longer occupies an active function within the FIVA.
6.2.2. Membership of Honour shall be limited to a maximum of ten recipients at any one time.
ARTICLE 7 – PATRONS AND ASSOCIATE MEMBERS
7.1. The General Assembly may, on proposal of the General Committee, admit as a Patron, any individual or body which, to support the activities of the FIVA, wishes to pay a subscription. 4
7.2. In the capacity of Associate Member, any national or international club, federation or association, as well as any institution or non-profit organisation, the cooperation of which shall be considered desirable and useful by the General Assembly, after the General Committee has been consulted, exceptionally can be accepted.
7.3. Patrons and Associate Members shall not have the right to vote, either in the General Assembly or in Commissions.
ARTICLE 8 - OBLIGATIONS OF THE MEMBERS OF THE FIVA
8.1. The Members of the FIVA, by the very fact of their admission into the FIVA, shall agree to abide without reservation by the Statutes and other Regulations of the FIVA. They shall undertake to do this when they file their application for membership or accept their appointment as Member of
Honour, Patron or Associate Member.
8.2. Likewise they shall accommodate themselves in their respective countries to the general regulations and appendices established by the FIVA and its Commissions.
8.3. They shall also undertake to accept and observe all decisions taken by the General Committee and the General Assembly.
8.4. All Members of the FIVA commit themselves to respect the unwritten standard of conduct which covers communication between Members and individuals in the historic vehicle movement and promise at no time to undertake anything which might prejudice the honour, dignity or interests
of the FIVA.
8.5. Members must avoid being involved in activities, exhibitions or events, the character of which are not in accordance with the high standard and dignity that is the aim of the FIVA. In case of doubt Members must refer the question to the General Committee for guidance.
8.6. All Members, Members of Honour and Associate Members must register an address with the General Secretary which shall thereafter be the address for service of all documents upon them.
8.7. The F.I.V.A.should at all times be kept informed of any changes to the composition of the member’s governing body and statutes.
ARTICLE 9 - ADMISSIONS
9.1. Any duly constituted Club, Federation or Association wishing to join the FIVA, must send to the Secretariat an application conforming to the FIVA Regulations for application.
9.2. If the Applicant belongs to a nation which is already represented by a Member in the F.I.V.A, the Secretariat of the F.I.V.A shall inform such Member which will have to make known, within one month's time, whether there are any objections to make to the application. The opinion of any such Member shall be submitted to the General Assembly together with the proposal of the General Committee regarding the application for membership, upon which the General Assembly will decide by sovereign right.
9.3. The application and enclosures, as well as possible opinions on the application of F.I.V.A members, shall be referred to the Membership Director for study. Further documentation and particulars may be requested from the Applicant by him,who, if considered necessary, may invite a representative of the Applicant to supply more comprehensive information.
9.4. The Director will submit a report on the application to the General Committee, which presents to the General Assembly its recommendations on account of the application.
9.5. In any case where an applicant belongs to a nation not already represented by a Member in the FIVA or, where that nation is so represented, that Member has made known no objection under Article 9.2 and, in either case, the Director has certified to the General Secretary that the application is in full compliance with FIVA statutes, the President and General Secretary may jointly admit the said applicant provisionally as a Member at any time. The admission of any applicant under this Article shall be reported to and be subject to ratification by the next General Assembly of the FIVA 5
9.6 Any Member who has resigned or been subject to striking off the rolls or expulsion and which wishes to re-apply for admission, will have to submit its application on the same basis as a new candidate.
ARTICLE 10 - RESIGNATIONS - STRIKING OFF THE ROLLS - EXPULSION
10.1. Membership of the FIVA can end by :
a- The resignation of the FIVA Member, received at the Secretariat before the 28th February of each year, by a registered letter, signed by the President and by at least one other member of the Committee or Board of Directors of the Member. After that date the membership fee for the current year shall be due.
b- By striking off the rolls for :
1- failure to meet their financial commitments to the FIVA, after having received one month notice, given by registered letter, on a decision made by the General Committee. 2- Where in the opinion of the General Committee, there is a serious infringement of the Statutes.
10.2. Striking off and expulsion shall be pronounced by the General Assembly on the
recommendation of the General Committee, after hearing the defendant.
ARTICLE 11 - GENERAL ASSEMBLY
11.1. The General Assembly consists of all the Members of the FIVA. The President shall be the chairman. Each nation will be represented by not more than three delegates who can take part in the discussions.
11.2.. In addition the President may decide to invite to the General Assembly any person who, either by the body he represents or by his own personal qualifications, may bring useful assistance to the General Assembly.
11.3. The Annual General Assembly must be held once a year. This Assembly shall fix the date and place of the following Annual General Assembly.
11.4. The Annual General Assembly may decide on Extraordinary General Assemblies, for which it shall also fix the date and places.
11.5. Furthermore, upon request of the Members of at least 1/3 of the nations represented in the FIVA, or at the decision of the General Committee, the President must summon an Extraordinary General Assembly which shall meet within a period of 8 weeks from the decision of the General Committee or from the receipt of the request, which shall include a reasoned draft agenda. To this compulsory agenda, the General Committee may at the same time, add any questions it shall find adviseable to be dealt with by the Extraordinary General Assembly.
11.6. Notices convening General Assemblies shall be sent to Members, Members of Honour, Patrons and Associate Members at their registered address not later than two months before the date fixed for the meeting. This period shall be reduced to one month for notices convening Extraordinary General Assemblies, which must be accompanied by a complete agenda.
11.7. The agenda of the General Assembly shall be sent to all Members not later than one month before the date fixed for the meeting.
ARTICLE 12 - ELECTIONS AND VOTING AT GENERAL ASSEMBLY
12.1. The General Assembly shall have sovereign rights. Its attributions shall, in addition to other powers referred to in these statutes, be, in particular, the following: 6
12.2. To approve the annual progress report of the General Committee as well as the annual progress reports of the commissions and their suggestions for the future.
12.3. To approve the accounts for the previous financial year and the draft budget for the following year.
12.4. To elect annually two auditors for the auditing of the accounts.
12.5 To elect, every three years, the President, and every year, one third (or as nearly as may be) of the Vice-Presidents and Directors. The year means the elapsed time between two successive yearly General Assemblies.
12.6. To approve the admission of new Members, their striking off, and their expulsion.
12.7. To make amendments to the Statutes.
12.8. To consider the dissolution and the liquidation of the FIVA.
12.9. At General Assemblies, voting shall, except for the votes of Members of Honour, take place by nation at the rates indicated in Appendix B. If in one nation there is more than one member of the FIVA sending delegates to a General Assembly, the ANF will carry the vote.
12.10. A Member who has not paid all his financial dues to the FIVA cannot vote.
12.11. The decisions of the General Assembly, both ordinary and extraordinary, will be made by a simple majority (over 50%) except in the case of articles 9.2. (Admission of Members), 10.2. (Expulsion of Members), and 12.7. (Amendments to the Statutes) where the majority required will be one of not less than two thirds of the votes cast at the General Assembly. In the case of tied votes the President shall have an additional casting vote.
12.12. For the General Assembly, the quorum shall be set at one half of the FIVA Member nations entitled to vote.
12.13. All kinds of voting shall be scrutinized by two persons appointed by the General Committee.
12.14. If, in exceptional circumstances, the General Committee considers that the interests of the FIVA, whether in general or in particular, are not being defended effectively in a particular country or a specific area of concern, or if the Events Control within a country is abandoned, the General Assembly may, after consulting any Member concerned, take such steps as are necessary and desireable to give effective representation to that country in the various bodies of the FIVA.
ARTICLE 13 - GENERAL COMMITTEE
13.1.1. The General Committee of the FIVA shall be composed of: the President of the FIVA, two senior Vice Presidents, four Vice-Presidents, and up to twelve Directors.
13.1.2. The General Secretary and the Treasurer of the FIVA shall also be the General Secretary and the Treasurer of the General Committee but they will have no vote.
13.2. The Directors will serve for a period of three years.
13.3. The GeneraI Committee, excepting the nationality of the President, must consist of individuals of at least five different nationalities.
13.4. Past Presidents have the right to attend the General Assembly, the General Committee and the Commissions without a vote.
13.5. The General Committee shall meet at least twice a year and whenever the President judges it necessary or when a majority of the members of the General Committee requires it. One of the meetings of the General Committee must always be in conjunction with the Annual General Assembly.
13.6. The General Committee shall have the power to make and /or change Internal Regulations, subject to ratification by the General Assembly.
13.7. The General Committee decides all matters which are not expressly reserved for the General Assembly. 7
ARTICLE 14 - PRESIDENT / VICE-PRESIDENTS
14.1. The General Assembly will elect the President, the two senior Vice Presidents, the four Vice-Presidents and the Directors by secret ballot from candidates nominated in writing, in accordance with the Regulations, not less than six weeks before the General Assembly. Notice of such nominations shall be sent to all members not later than one month before the date fixed for the meeting. In the case of the election for the President, a special procedure is set out in the Regulations
14.2. The President and the Vice-Presidents of the FIVA shall also be the President and the Vice-Presidents of the General Committee.
14.3. In the event of the absence or unavailability of the President, one of the two senior Vice-President shall act as President. If the two senior Vice-Presidents have equal seniority, the oldest in years from them shall act.
14.4. The President will serve for a period of three years and can be renominated for only one further consecutive term. The Vice-Presidents will serve for a period of three years and can be renominated for only two further consecutive terms. However Vice-Presidents, after any period in office, will be eligible for the position of President.
ARTICLE 15 – COMMISSIONS AND SUB-COMMISSIONS
15.1. The work in a Commission is administered by a chairman assisted by at least one vicechairman and a secretary.
15.2. Every Member of the FIVA is entitled to appoint one voting delegate and one deputy delegate to each full Commission meeting, where the decisions shall be carried by simple majority (over 50%) of the votes cast. In the event of equality the chairman shall have an additional casting vote.
15.3. The Commission is chaired by one of the Vice Presidents or Directors.
15.4. Voting in Commissions shall, when necessary, take place at the rate of one voting delegate, one vote.
15.5. The delegates on a Commission elect annually among themselves one or more vice-chairmen and a secretary.
15.6. The General Assembly may, on the recommendation of the General Committee, issue codes to govern events, the technical classification of historic vehicles and other similar matters, in particular : an Events Code, a Technical Code and any other code it considers necessary.
15.7. In order to accomplish its work, a Commission may establish a Sub-Commission, subject to the agreement of the General Committee.
ARTICLE 16 – WORKING GROUPS
16.1. For subjects for which there is no Commission nor Sub-Commission, or in order to support the work of a Vice President or Director, the General Committee may set up a temporary Working Group, chaired by one of the General Committee members. This chairman reports on the activities of the Working Group to the General Committee.
ARTICLE 17 – FIVA NATIONAL AUTHORITY (ANF)
17.1. The FIVA is, in a member nation, represented by the member having the FIVA National Authority (ANF) and which is the sole bearer of all FIVA rights and obligations in that nation.
17.2. The ANF should be independent and free of all obligations to commercial or other organisations. It should represent the whole historic vehicle movement over the entire national territory. The statutes of the ANF should harmonise with the Statutes of the FIVA.
17.3. The ANF carries the voting rights at the FIVA General Assembly. 8
17.4. It is the obligation of the ANF to issue FIVA Identity Cards in accordance with the FIVA Technical Code.
17.5. The ANF is also responsible for executing the FIVA Events Control over its members and in its nation, in accordance with the FIVA Events Code.
17.6. If, in a nation, the FIVA has more than one Member, the General Committee will appoint one of the Members to be the ANF of that nation, bearing in mind the established rights of the Members and the extent to which they can be expected to fully represent the movement in their country and execute Events Control.
ARTICLE 18 –CONTROL OF FIVA EVENTS
18.1. The FIVA Events Control shall be delegated by the FIVA General Assembly to its Events Commission, which shall be granted full powers by the General Assembly to take all decisions concerning the organisation, direction and management of such events as may fall within the boundaries of the FIVA Events Control.
18.2. The ANF shall, under the supervision of the FIVA Events Commission and in accordance with the FIVA Events Code, exercise its Events Control directly and throughout its national territory through an Events Commission, which constitutes a special executive body.
18.3. The ANF and its Events Commission remain under any circumstances responsible before the FIVA, which must at all times be kept informed of the composition of this body.
18.4. Upon the decision of the General Assembly following a recommendation of the Events Commission, the exercise of the Events Control in any nation can be temporarily transferred to another organisation in that nation or withdrawn either temporarily or definitively, from any Member failing to comply with the Events Code or the decisions of the Events Commission. Such temporary transfer or withdrawal can also be made at the request of the Member.
ARTICLE 19 - ADMINISTRATION
19.1. The General Secretary shall be responsible for carrying out the general policies laid down by the General Committee in dealing with Members of all kinds and the various organisations with which the FIVA collaborates. In carrying out his duties, he shall work closely with the General Committee and the chairmen of the various FIVA Commissions.
19.2. The General Secretary shall perform his duties under the supervision of the President of the FIVA.
19.3. To assist the General Secretary in the performance of his duties, an Assistant General Secretary may be appointed by the General Committee.
19.4. The General Secretary and the Assistant General Secretary may attend the meetings of the various FIVA bodies in a consultative capacity.
19.5. Signatories for the FIVA shall be either the President together with any two other members of the General Committee or any two of the Vice-Presidents together with any two other members of the General Committee.
ARTICLE 20 - FINANCES
20.1. The resources of the F.I.V.A. shall be derived from: (a) the annual dues paid by the Members, (b) subscriptions from Patrons and Associate Members (c) income and interest from any personal estate which the F.I.V.A. might own, (d) any fees and levies which the General Committee or the General Assembly decide to collect, (e) donations or legacies, (f) sponsorship and (g) other unspecified income approved by the General Committee.
20.2. The General Committee shall present for approval by the Annual General Assembly the accounts for the past year and the draft budget for the next period, on the report of the Treasurer. 9
ARTICLE 21 - DISSOLUTION
21.1. A resolution dissolving the FIVA shall not be effected unless it is passed at two successive General Assemblies which shall not be held less than three months apart.
21.2. The General Assembly which votes for dissolution shall have sovereign decision over the employment of the funds on the day of the dissolution according to the French law.
ARTICLE 22 - INTERPRETATION OF THE STATUTES AND INTERNAL RULES ETC.
22.1. Internal regulations may be made by the General Committee.
22.2. In cases of contradiction between the Statutes and any internal rules, codes or similar regulations, the Statutes must always be given preference.
22.3. The present Statutes shall be printed in English and in French.
22.4. In case of misunderstanding, dispute, etc., on the interpretation of FIVA Statutes and/or Regulations or other internal disputes, the matter shall be submitted for decision to a working group, consisting on the one part of the FIVA Legal Advisor, and on the other part of a French lawyer and an English lawyer, both appointed by the General Committee. 10
